By visiting our Website, creating an account, placing an order, or otherwise interacting with our digital platforms, you acknowledge that:

  • You have read, understood, and agree to be bound by these Terms;

These Terms incorporate by reference our Privacy Policy, which is available on our Website and governs the collection, use, and disclosure of your personal information. Your continued use of the Website after any posted revisions to these Terms constitutes your acceptance of the revised Terms.

2. Description of Services

Our services include, but are not limited to:

2.1 Online Ordering

We offer an online ordering platform through which customers may place orders for pickup and/or delivery of food and beverages. Orders placed through the Website are subject to availability, and we reserve the right to decline or cancel any order at our discretion, including but not limited to situations involving pricing errors, unavailability of items, or suspected fraudulent activity.

2.2 Menu and Product Information

We provide descriptions, pricing, photographs, and nutritional information relating to our food and beverage offerings. While we make reasonable efforts to ensure such information is accurate and up to date, we do not warrant that all menu descriptions, images, prices, or availability information displayed on the Website are free from errors or omissions. Menu items, pricing, and availability are subject to change without prior notice.

2.3 Account Registration

We may offer registered account features allowing users to save order history, payment methods, and delivery preferences. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your account.

2.4 Promotions and Loyalty Programs

From time to time, Pequod's Pizza may offer promotions, discounts, coupons, or loyalty rewards. Such offers are subject to their own specific terms and conditions and may be modified or discontinued at any time without notice.

2.5 Third-Party Delivery Services

Pequod's Pizza may partner with third-party delivery service providers to facilitate the delivery of orders. When using third-party delivery services, you may also be subject to the terms and conditions of those service providers. We are not responsible for the actions, omissions, delays, or service quality of any third-party delivery partner.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Website and all of its content, including but not limited to text, graphics, photographs, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof (collectively, the "Content"), are the exclusive property of Pequod's Pizza or its content suppliers and are protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), trademark laws, and other proprietary rights.

The Pequod's Pizza name, logo, and all related product and service names, design marks, and slogans are trademarks and/or service marks of Pequod's Pizza. You are not permitted to use any such marks without our prior written consent. All other trademarks, service marks, and trade names appearing on the Website are the property of their respective owners.

4.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal, non-commercial purposes. This license does not include the right to:

  • Modify or create derivative works based on the Website or its Content;
  • Use any data mining, robots, or similar data gathering tools;
  • Download or copy account information for the benefit of another person or entity;
  • Use or reproduce the Content for commercial purposes without our written authorization.

4.3 User-Submitted Content

If you submit reviews, comments, photographs, feedback, or any other content to us (collectively, "User Content"), you grant Pequod's Pizza a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Content throughout the world in any media. You represent and warrant that you own or have the necessary rights to the User Content you submit and that such content does not infringe upon the rights of any third party.

5. Payment Terms

5.1 Pricing

All prices listed on the Website are in United States Dollars (USD) and are subject to change at any time without prior notice. Prices do not include applicable taxes or delivery fees unless otherwise specified at checkout. The total cost of your order, including all applicable taxes, fees, and charges, will be displayed prior to the final submission of your order.

5.2 Payment Methods

We accept various forms of payment as indicated on the Website at the time of checkout, which may include major credit cards, debit cards, and other digital payment methods. By providing payment information, you represent and warrant that:

  • You are authorized to use the designated payment method;
  • The payment information you provide is accurate and complete;
  • You authorize us to charge the total order amount to your designated payment method.

5.3 Order Confirmation and Cancellation

Upon successful placement of an order, you will receive a confirmation via email or on-screen notification. Order cancellations may only be made within a limited window following placement, as food preparation may begin immediately. Once an order has entered preparation, it may not be cancelled, and refunds may not be issued except at our sole discretion.

5.4 Refunds and Disputes

If you believe you have been incorrectly charged, or if there is a problem with your order, please contact us immediately at [email protected]. We will review all refund requests on a case-by-case basis. Refunds, if approved, will be processed to the original payment method within a reasonable time frame, subject to applicable banking processing times. We are not responsible for delays caused by your financial institution.

5.5 Taxes

You are responsible for paying all applicable federal, state, and local sales taxes, use taxes, and any other taxes or fees associated with your order. Applicable tax rates will be calculated and displayed at checkout based on your order and delivery address.

6. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT, SERVICES, AND PRODUCTS PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

PEQUOD'S PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE WEBSITE;
  • WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED;
  • WARRANTIES THAT THE WEBSITE OR ITS SERVERS ARE FREE FROM UNAUTHORIZED ACCESS OR INTRUSION.

SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR WARRANTIES WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE STATE LAW.

Allergen and Dietary Information Disclaimer: While we make reasonable efforts to provide accurate allergen and nutritional information, we cannot guarantee that our food products are free from allergens or that nutritional data is completely accurate. Customers with food allergies, intolerances, or specific dietary needs should contact us directly before placing an order and should not rely solely on the information provided on the Website.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, INCLUDING THE FEDERAL TRADE COMMISSION ACT AND ALL APPLICABLE CONSUMER PROTECTION STATUTES, IN NO EVENT SHALL PEQUOD'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE WEBSITE OR OUR SERVICES;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • CONDUCT OF ANY THIRD PARTY ON THE WEBSITE;
  • DELAYS OR FAILURES IN THE DELIVERY OF FOOD ORDERS;
  • ANY MATTER OTHERWISE RELATING TO THE WEBSITE OR SERVICES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF PEQUOD'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PEQUOD'S PIZZA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PEQUOD'S PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU, AND YOUR RIGHTS MAY VARY DEPENDING ON YOUR STATE OF RESIDENCE.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pequod's Pizza and its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Website or services in a manner not authorized by these Terms;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Your infringement of any intellectual property or other rights of any third party;
  • Any User Content you submit, post, or transmit through the Website;
  • Your negligent or intentional misconduct;
  • Any dispute between you and a third party, including delivery partners or payment processors.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with us in asserting any available defenses. You agree not to settle any such matter without our prior written consent.

9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without giving effect to any choice of law or conflict of law provisions.

To the extent permitted by law, any legal action or proceeding arising under these Terms that is not subject to the arbitration provisions set forth in Section 10 shall be brought exclusively in the federal or state courts of competent jurisdiction within the United States. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

These Terms and your use of the Website are also subject to applicable federal laws and regulations, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Electronic Communications Privacy Act, and all other applicable federal consumer protection statutes. Where applicable state law provides additional protections to consumers — including, without limitation, California's Consumer Privacy Rights Act (CPRA) and Consumers Legal Remedies Act — such protections are not waived by these Terms.

10. Dispute Resolution and Arbitration

10.1 Informal Resolution

Before initiating any formal dispute resolution procedure, you agree to first contact Pequod's Pizza at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We agree to use good faith efforts to resolve the dispute informally within thirty (30) days of receiving your notice. If the parties are unable to resolve the dispute informally within that period, either party may proceed to formal dispute resolution as set forth below.

10.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, and except as otherwise provided herein, all disputes arising out of or relating to these Terms or your use of the Website and services shall be resolved exclusively through final and binding arbitration, rather than in court, in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA"), including the AAA's Consumer Arbitration Rules where applicable.

The arbitration shall be conducted by a single neutral arbitrator. The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could order or grant. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND PEQUOD'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both you and Pequod's Pizza waive any right to a jury trial and waive any right to participate in a class action lawsuit or class-wide arbitration.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Such relief may be sought without first engaging in the informal dispute resolution process described in Section 10.1.

11. Term and Termination

11.1 Duration

These Terms shall remain in full force and effect for as long as you use our Website or services. Certain provisions of these Terms, by their nature, shall survive termination, including but not limited to intellectual property rights, disclaimers, indemnification, limitation of liability, and dispute resolution provisions.

11.2 Termination by Us

Pequod's Pizza reserves the right, in its sole discretion, to suspend or terminate your access to the Website and services, with or without notice, and without liability to you, if we believe you have:

  • Violated any provision of these Terms;
  • Engaged in fraudulent, deceptive, or illegal conduct;
  • Abused our promotions, refund policies, or ordering systems;
  • Taken any action that may harm or damage the Website, our reputation, or our customers;
  • Failed to pay for orders;
  • Provided false or misleading information.

11.3 Termination by You

You may terminate your relationship with us at any time by ceasing all use of the Website and, if applicable, requesting deletion of your account by contacting us at [email protected]. Please note that termination of your account does not affect any outstanding obligations, including payment for orders already placed.

11.4 Effect of Termination

Upon termination, your right to use the Website and services will immediately cease. Any provisions of these Terms that, by their nature, should survive termination will survive, including Sections 4, 6, 7, 8, 9, 10, and 14.

12. Changes to Terms

Pequod's Pizza reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice such as by displaying a prominent notice on the Website or sending an email notification to registered users.

Your continued use of the Website following the posting of revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Website immediately. We encourage you to review these Terms periodically to stay informed of any changes.

Material changes to these Terms, such as modifications to our dispute resolution, arbitration, or class action waiver provisions, will be communicated to you at least thirty (30) days before they take effect by posting a notice on the Website or by email (if you have provided us with an email address). If you object to such changes, your sole remedy is to discontinue use of the Website and services.

13. Third-Party Links and Services

The Website may contain links to third-party websites, platforms, or services that are not owned or controlled by Pequod's Pizza. We have no control over, and assume no responsibility for, the content, privacy policies, practices, or terms of any third-party websites or services. We strongly advise you to review the terms and privacy policies of any third-party sites you visit.

We do not warrant or make any representations regarding the accuracy or reliability of content on third-party sites, or the quality or availability of any products or services offered by third parties. The inclusion of any link on our Website does not imply our endorsement of the linked site or any association with its operators.

14. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, void, or unenforceable under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms, which shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been contained herein.

The parties agree that the severing of any provision of these Terms shall not affect the intent of the parties, and that any remaining provisions shall be construed to give maximum effect to the original intent of the parties as expressed herein.

15. Entire Agreement and Waiver

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and Pequod's Pizza with respect to your use of the Website and services, and supersede all prior or contemporaneous communications, proposals, representations, and agreements (whether oral or written) between you and Pequod's Pizza with respect to such subject matter.

The failure of Pequod's Pizza to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach of these Terms shall not be deemed a waiver of any subsequent breach of the same or any other provision. No waiver shall be effective unless it is in writing and signed by an authorized representative of Pequod's Pizza.

16. Force Majeure

Pequod's Pizza shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes, supply chain disruptions, power outages, internet failures, terrorism, civil unrest, or any other event of force majeure. In such circumstances, we will make reasonable efforts to resume performance as soon as practicable.

17. Accessibility

Pequod's Pizza is committed to making our Website accessible to all users, including individuals with disabilities, consistent with applicable requirements under the Americans with Disabilities Act (ADA) and applicable state accessibility laws. If you experience any difficulty accessing our Website or services, please contact us at [email protected] so that we may assist you and work to improve our accessibility.

18. Electronic Communications

By using our Website and services, you consent to receiving electronic communications from us, including order confirmations, receipts, promotional materials (subject to your marketing preferences), and notices regarding these Terms. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
